Job Title: Legal Counsel

The Legal Counsel is primarily responsible for providing legal advice to Energy Foundation China, working with the Board, management team, internal staff and external lawyers to ensure full compliance with all relevant laws in both China and the U.S., putting in place controls and protocols to enhance risk management, and suggesting the most appropriate approach to achieve the organization’s goals.



  • Provide updates to the Board and the management team on the changing policy, regulatory and legal environment of iNGO field, and make recommendations to ensure legal compliance;
  • Advise the Board and the management team on risk management, recommending control mechanisms and reporting protocols to minimize legal risks;   
  • Provide legal advice on day-to-day operations, and contribute to the formulation of office policies from legal perspectives, including but not limited to Conflict of Interests policies, Whistle Blower policies, Staff Handbook, etc.;
  • Develop standard template of legal documents for Energy Foundation China to enhance risk controls;
  • Review contracts and legal documents, including but not limited to Foundation-initiated-project (FIP) agreements, commercial agreements, Memorandum of Understanding (MOU) and etc.;
  • Prepare bilingual version of contracts and other legal documents as needed;
  • Review and sign off granting documents from legal and risk management perspective for grants with significant values;
  • Engage in Monitoring & Evaluation from legal and regulatory perspectives;
  • Organize and conduct internal legal compliance and risk management training;
  • Review key hiring decision from legal perspective, e.g., compliance with conflict of interest policy;
  • Provide support in organizational restructuring process from legal and regulatory perspectives;
  • Manage the legal services provided by external law firms/counsels as needed;
  • Handle dispute and litigation on behalf of Energy Foundation China as needed;
  • Undertake additional tasks and responsibilities as assigned by President and COO;
  • Back up other colleagues as needed.

  • Education: Master’s degree or equivalent, majored in law.
  • Working experience: Above 8 years of legal experience. Experiences in in-house counsel at non-profit organizations and knowledge in iNGO-related laws will be a plus.
  • Language level: Chinese native speaker; excellent command of spoken and written English.
  • Communication: ability to communicate logically and articulate key messages/points with clear structure and fact-based supporting arguments, listen actively to audience’s purpose, and communicate effectively in public.
  • Problem solving: ability to define and prioritize the key issues when facing complex situations, make analysis with logical reasoning, propose possible solutions and resolve some complicated issues independently, well balance between internal control and flexibility, aiming to achieve organizational goals effectively and efficiently.
